Rockwood FC’s Annual General Meeting – UPDATE
When: Monday December 2nd
Where: Rockwood FC office 110 Rockmosa Drive Rockwood
What time: 6:30-7:30 pm for House League Registration
6:30-7 pm Meet and Greet – talk with fellow RFC members
7:00 pm AGM
**NOTE – RFC is seeking an amendment to its bylaws with respect to its Corporate Governance Structure and Organizational Structure. RFC is also seeking a vote in favor of waiving the 30 day notice with respect to the changes to the bylaws. **
ARTICLE VII: AMENDMENT OF BYLAWS
7.3 Waiver of Notice – Notwithstanding any other provisions of these Bylaws, the notice provisions of Article 7.2 may be waived by an affirmative vote of not less than three-fourths (3/4) of the Members present and entitled to vote.
Summary of the proposed changes:
- Reduce the number of Board members from 7 to 5
- Renaming of Board position titles to Board Chair (1) and Board Members (4)
- Eliminate a requirement of the President to chair the Board meetings.
- Eliminate the position of “Secretary” form the Officers.

d. Adoption of Minutes of the previous Annual Meeting

h. Other Business
– Vote on amendments to RFC’s bylaws
– Vote to Waive notice on introducing By Law Amendments
i. Election of new Directors and Executive
According to the RFC BY-Laws:
4.6 Nomination – Any nomination of an individual for election as a Director will include the written consent of the nominee and be submitted to the Head Office of the Corporation seven (7) days prior to the Annual General Meeting. Nominations will not be accepted from the floor.
4.8 Circulation of Nominations – Valid nominations will be circulated to voting Members prior to the elections.
Voting at Meetings of Members
3.9 Voting Privileges – Members will have the following voting rights at all meetings of Members:
a. Active Members:
i.An Active Member who is eighteen (18) years of age and older and a registered volunteer with Rockwood Football Club may participate in meetings of members and is entitled to one vote
ii.An Active Member who is Seventeen (17) years of age and younger is not entitled to vote.
b. Parent/Guardian Members:
i. A Parent/Guardian Member who is registered with the Rockwood Football Club as a volunteer is entitled to one vote
c. Coaching Members:
Volunteer Coaches with Rockwood Football Club who are Eighteen (18) years of age and older may attend meetings of members and are entitled to one vote.
i.Seventeen (17) years of age and younger are not entitled to vote.
